By accessing and using ReplyOtter ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

ReplyOtter is an AI-powered service that helps businesses manage and respond to Google Business Profile reviews. The Service includes:

  • Automatic syncing of Google Business reviews
  • AI-generated response suggestions
  • Review analysis and flagging of potential issues
  • Direct posting of responses to Google Business Profile

3. User Accounts

To use the Service, you must:

  • Create an account with accurate and complete information
  • Have a valid Google Business Profile
  • Be at least 18 years old or the age of majority in your jurisdiction
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Post responses that are false, misleading, defamatory, or violate any laws
  • Use the Service to spam or harass reviewers
  • Attempt to circumvent any limitations or security features
  • Reverse engineer or attempt to extract source code
  • Use the Service in any way that could damage or overburden our systems
  • Violate Google's Terms of Service or policies

5. AI-Generated Content

The Service uses artificial intelligence to generate response suggestions. You acknowledge that:

  • AI-generated responses are suggestions and should be reviewed before posting
  • You are solely responsible for all responses posted to your Google Business Profile
  • ReplyOtter is not liable for the content of AI-generated responses
  • You should ensure all responses comply with applicable laws and regulations

6. Fees and Payment

Access to the Service requires a paid subscription. You agree to:

  • Pay all fees associated with your subscription plan
  • Provide accurate billing information
  • Authorize recurring charges to your payment method

We reserve the right to change our pricing with 30 days' notice. Fees are non-refundable except as required by law.

7. Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically begin unless you cancel before the trial ends. No credit card is required during the trial period.

8. Cancellation and Termination

You may cancel your subscription at any time. Upon cancellation:

  • You will retain access until the end of your current billing period
  • No refunds will be provided for partial months
  • Your data will be retained for 30 days before deletion

We reserve the right to suspend or terminate your account if you violate these terms or for any other reason at our discretion.

9. Intellectual Property

The Service, including its software, design, and content, is owned by ReplyOtter and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

10. Data and Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

11. Third-Party Services

The Service integrates with Google Business Profile and other third-party services. Your use of these services is subject to their respective terms and conditions. We are not responsible for any third-party services or their availability.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE ARE NOT RESPONSIBLE FOR:

  • The accuracy or appropriateness of AI-generated responses
  • Any consequences resulting from responses posted to Google Business Profile
  • Changes to Google's API or policies that affect the Service
  • Loss of data due to technical issues or your actions

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLYOTTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold ReplyOtter harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of another party.

15. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
